Promoter group subscribes to Embassy Developments warrants at ₹111.51 each

Embassy Developments Limited, the Bengaluru-based real estate company formerly known as Equinox India Developments Limited, has allotted 3,25,18,900 unlisted convertible warrants on a preferential basis to Embassy Property Developments Private Limited, a member of the promoter and promoter group. The allotment was executed on 12 October 2026, and the filing describing it bears the same date.

Each warrant carries an exercise price of ₹111.51, which includes a premium of ₹109.51 per warrant. The holder has paid 25% of the aggregate exercise price upfront, amounting to ₹90.65 crore, and will pay the remaining 75% on exercise. Conversion can take place in one or more tranches within six months of allotment. The aggregate size of the issue is about ₹362.6 crore, and each warrant converts into one fully paid-up equity share of face value ₹2.

Key terms of the warrant issue

The board recommended the preferential and private placement issue on 10 August 2026, in the same meeting that approved the unaudited results for the quarter ended 30 June 2026. Shareholders approved the proposal at the 20th Annual General Meeting on 8 September 2026. BSE Limited and the National Stock Exchange of India gave in-principle approval on 30 September 2026. The issue was made under Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.

The floor price was set with reference to the share price on the NSE over the 90 trading days before the relevant date, as the NSE recorded the higher volume. The promoter group entity agreed voluntarily to subscribe at the premium exercise price.

Key terms of the issue:

  • Warrants allotted: 3,25,18,900 unlisted convertible warrants
  • Exercise price: ₹111.51 per warrant, including a premium of ₹109.51
  • Upfront payment: ₹90,65,45,634.75, or 25% of the aggregate exercise price
  • Balance payable on exercise: about ₹272 crore, within six months of allotment
  • Face value of each resulting share: ₹2
  • Stated use of funds: repayment of shareholder debt, with the balance for general corporate purposes

The allotment does not change the issued and paid-up equity capital until the warrants are exercised. The company has said dilution will occur only at the point of exercise. The AGM notice showed a post-issue diluted shareholding of 15.69%.

In a separate development, promoter Jitendra Virwani bought 3,48,500 shares on 30 September 2026, raising his holding to 13,82,970 shares. Neel Virwani was appointed Chief Business Officer effective 1 October 2026, with responsibility for North and West India.

Bengaluru and the North Bengaluru pipeline

The warrant proceeds are linked to a company whose residential business has been concentrated in Bengaluru. The company reports strong demand for premium residential housing in the city, and says about 72% of launch inventory in Bangalore sold within six months. An earlier five-year plan cited 5.6 million square feet of development potential in North Bengaluru.

One of the projects in that corridor is Embassy Origins, an 85-acre township in North Bengaluru with 217 villas and 855 apartments.

The developer at a glance

The Embassy Group was founded in 1993 and is led by a promoter family that includes Jitendra Virwani and Aditya Virwani. Embassy Developments is listed on both BSE and the National Stock Exchange and ranks among India's largest listed real estate developers. The group has a presence in Bengaluru, Mumbai and Gurugram.

For the quarter ended 30 June 2026, the company reported a net loss of ₹234 crore, compared with ₹166 crore a year earlier. Revenue from operations stood at ₹217 crore, against ₹681 crore in the same quarter of the previous year. Pre-sales rose 338% to ₹868 crore from ₹198 crore, and collections increased about 54% to around ₹496 crore from ₹322 crore. Net institutional debt was about ₹3,300 crore as of 30 June 2026, and net debt-to-equity stood at 0.35x.

Other recent developments include:

  • On 19 September 2026, a committee approved the issue of non-convertible debentures of up to ₹160 crore on a private placement, unlisted basis.
  • On 9 October 2026, Infomerics upgraded the company to IVR A/Stable, raised its bank loan facilities to ₹350 crore and rated the ₹160 crore debentures.
  • On 22 September 2026, the company signed a memorandum of understanding to sell an entire residential tower at Embassy Terazza, its ultra-luxury project on Juhu Tara Road in Mumbai, to Dinesh Thakkar for about ₹711 crore. The project, spread over more than two acres with around 50 residences, received RERA approval shortly before the deal.

The promoter group also has a history of warrant conversions. In May 2025, Bellanza Developers and NCL SG Holdings, a Blackstone fund, converted warrants that raised about ₹1,060 crore. The promoter group's holding stood at 42.96% after that conversion.

What comes next

The warrant holder has up to six months from the 12 October 2026 allotment, which means conversion can take place by about 12 April 2027. The balance of roughly ₹272 crore becomes payable at that stage. The promoter group has stated its intention to exercise within six months, which is faster than the 18-month regulatory limit. Once the warrants are exercised, the company's paid-up equity capital will rise and existing shareholders will see dilution.
