Embassy REIT Raises ₹1,000 Crore from European Bank, First Trust-Level Bank Financing Under RBI Framework
Embassy REIT Marks First Direct Bank Financing for Indian REIT
Bengaluru-based Embassy Real Estate Investment Trust (REIT) has raised ₹1,000 crore through the issuance of non-convertible debentures (NCDs) to a scheduled European multinational bank. The three-year floating-rate NCDs carry an initial coupon of 6.97 per cent and have been issued as Series XVIII debentures.
Debt Refinancing Focus
The proceeds will be used to refinance the trust's existing debt. The securities have received a AAA/Stable credit rating from CARE Ratings, according to an exchange filing by the trust on Friday. Embassy REIT allotted 1,00,000 Series XVIII NCDs with a face value of ₹1 lakh each on September 24.
A New Regulatory Milestone
The transaction marks the first financing by a scheduled commercial bank to an Indian REIT at the trust level. It follows the Reserve Bank of India's (RBI) framework introduced in June 2026, which allowed commercial banks to directly finance REITs.
Before the regulatory change, banks were restricted from lending directly to REITs at the trust level. REITs instead accessed debt financing through special purpose vehicles (SPVs), while also relying on bond issuances and equity markets to meet their funding requirements.
The RBI Framework for REIT Lending
Under the framework, banks can lend to Sebi-registered REITs provided at least 80 per cent of their underlying assets have generated positive cash flows from operations for a minimum of one year. The framework will come into effect from October 1, 2026, although banks may adopt the norms earlier in their entirety.
Embassy REIT's transaction demonstrates that the regulatory pathway has opened faster than the formal October deadline, with a major bank already willing to lend directly at the trust level. The coupon is linked to the three-month MIBOR-OIS rate plus a spread of 150 basis points, with the coupon resetting every quarter.
Portfolio and Recent Capital Raising
Embassy REIT currently owns and operates more than 52 million square feet (msf) of office space across Bengaluru, Mumbai, Pune, Delhi-National Capital Region (NCR) and Chennai. The portfolio comprises 14 premium office ecosystems, including large, integrated office parks and city-centre office assets, and is home to 285 leading global and domestic corporations.
The issuance comes a few months after Embassy Reit raised ₹1,400 crore through an NCD issuance in March this year. The borrowing forms part of a larger debt-raising programme of up to ₹9,000 crore approved by the REIT's board in April 2026.
Broadening Capital Options for Indian REITs
The latest transaction adds bank funding to the existing mix of bonds, equity and SPV-level borrowing available to Indian REITs. The transaction gives REITs another potential source of institutional capital beyond traditional equity and debt-market fundraising, while also marking an important development in how large commercial real estate portfolios can access bank financing.
