The board approved the issuance of convertible warrants worth ₹362.62 crore to the promoter group, Embassy Property Developments Private Limited, at an 80% premium.

The fund-raise is structured as a preferential issue of warrants aggregating up to ₹362.62 crore, with the company issuing 3,25,18,900 warrants at ₹111.51 per warrant. The company will raise up to ₹362.62 crore through a preferential issue of convertible warrants, with stated use of proceeds including repayment of shareholder debt and general corporate purposes.

Neel Virwani's Appointment

Neel Virwani will serve as Senior Management Personnel effective October 1, 2026, subject to shareholder approval. The appointee, aged about 27 years, holds a Bachelor's degree in Business Administration from Hult International Business School, with a focus on global business strategy. He has been associated with the Embassy Group since April 2024, where he has been closely involved in the Group's business strategy, portfolio planning.

The board noted that the company's expanded development portfolio across multiple geographies, including its growing presence in the Mumbai Metropolitan Region through Embassy Citadel, Worli, requires focused and continuous senior management oversight across business development, project execution, sales and customer engagement. He has undergone structured professional development under the guidance of the Group's leadership, including Mr. Jitendra Virwani (Chairman), Mr. Aditya Virwani (Managing Director) and Mr. Karan Virwani.

Jitendra Virwani Reappointment

The board recommended the re-appointment of Mr. Jitendra Virwani as Director. Jitendra Virwani was appointed Chairman of the Board of Embassy Developments Ltd. in February 2025. These appointments are subject to shareholder approval at the ensuing Annual General Meeting.

Q1 FY27 Financial Context

The decision comes alongside the company's approval of unaudited financial results for the quarter ended June 30, 2026. The company saw a 54% rise in cash collections, which totaled ₹496 crore for the period ending June 30, 2026. For the quarter, the company reported a consolidated net loss of ₹234.40 crore, widening from a loss of ₹165.64 crore in the same period last year.

Q1 pre-sales surged approximately 338% year-on-year to approximately ₹868 crore, signaling strong demand in the premium residential segment. This operational momentum was largely supported by healthy buyer interest in the company's residential projects across Mumbai and Bengaluru.
